Nector – Terms and Conditions
Effective Date: May 28th, 2025
1. Overview
Nector is an educational platform offering expert-led content and practical learning tools on life skills and financial literacy. Memberships may be purchased by individuals or organizations as corporate memberships. These Terms apply to all users of the Nector platform, regardless of membership type.
2. Account Access & Membership
a. Personal Memberships (D2C)
Personal memberships grant access to educational content and features, including the Help Desk, for personal use only. Sharing your login credentials or access privileges is strictly prohibited.
b. Corporate Memberships (B2B)
Corporate memberships are issued to organizations that purchase access for a designated number of users ("seats"). Each seat corresponds to one authorized user. The organization is responsible for assigning and managing access. The number of active users may not exceed the number of seats purchased.
Access includes educational content and Help Desk support for each seat-holder.
3. Payment Authorization
By purchasing a membership (either personal or corporate), you expressly authorize Nector to charge your provided payment method on a recurring basis—monthly or annually, depending on the plan selected—until you cancel in accordance with these Terms.
You agree to keep your payment information current and accurate. If a payment is declined or fails, we may attempt to reprocess the payment or suspend your account until the balance is resolved.
You consent to receive email notifications for any billing activity, including receipts, failed payments, and subscription updates.
4. Cancellation & Billing
a. Personal Users
Personal members may cancel their membership at any time via their account settings. Upon cancellation, access remains valid through the end of the current billing cycle. No prorated refunds are provided for partial billing periods. Reactivation will be treated as a new subscription.
b. Corporate Members
Corporate memberships are billed monthly or annually based on the number of seats selected during enrollment. You may cancel at any time by emailing [insert email]. Any increases or decreases to the number of seats must be submitted in writing and will take effect on the following billing cycle.
You agree to pay the full monthly amount based on the active seat count at the start of each billing period. No prorated adjustments will be made for mid-cycle seat removals.
Failure to make timely payments may result in account suspension or termination.
5. Use of Content and Help Desk
All materials on Nector—including videos, documents, and downloadable tools—are protected intellectual property. These are intended for personal or internal organizational use only. Reproducing, redistributing, or commercially exploiting any part of the platform without prior written permission is prohibited.
Your membership includes access to the Nector Help Desk, where users may submit questions and receive guidance related to specific topics. The Help Desk is designed to offer general direction and, in some cases, connect users with vetted professionals. However:
Help Desk Disclaimer: Nector is not responsible for the outcome of any advice given or any connections made through the Help Desk. Any guidance received through this feature is general and should not be treated as legal, financial, medical, or personalized professional advice. By using the Help Desk, you acknowledge that Nector, its affiliates, and the professionals you are connected with bear no liability for any losses, damages, or decisions made as a result of your use of this service.
6. No Guarantees or Liability for Advice
The educational materials and expert commentary found on Nector are intended to provide general knowledge—not professional consulting. We aim to offer content that is accurate, relevant, and practical, but we do not guarantee outcomes or results.
In particular, connections made through the Nector Help Desk or any referrals to professionals are done in good faith, based on the information provided by you. Nector is not liable for the actions, advice, or performance of any third-party experts or service providers, even if the introduction was facilitated by our platform.
7. Termination
Nector reserves the right to suspend or terminate any account that violates these Terms, abuses platform features (including the Help Desk), or engages in behavior that disrupts the experience for other users.
8. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated through the platform or email. Continued use after any update constitutes acceptance of the revised Terms.
9. Governing Law
These Terms are governed by and interpreted under the laws of the State of Florida. All legal disputes will be resolved exclusively in the courts located in Palm Beach County, Florida.
